These Terms of Service (“Terms”) govern your access to and use of Atlas Ally (“Service”). The Service is operated by André Filipe Gomes Faria (sole proprietor), trading as Atlas Ally, Schillerpromenade 10, 12049 Berlin, Germany — see the Imprint. By creating an account, you agree to be bound by these Terms. Section 9 below sets out additional terms for Consulting Services (the Starter Session, repeat sessions, and the Setup Sprint).
1. What Atlas Ally Is
Atlas Ally is a managed private AI agent service. When you sign up, we provision a dedicated virtual private server (VPS) on your behalf, install your personal AI agent on it, and connect that agent to integrations you choose (email, Slack, Telegram, etc.).
Operator access disclosure: Because Atlas Ally provisions and operates your server infrastructure on your behalf, our support and operations team may access your server for maintenance, security patching, incident response, and support purposes. We will not read your personal content unless strictly necessary to diagnose a problem you have reported, and we will not share it with third parties except as described in the Privacy Policy.
2. Agent Memory & Platform Sync
Your agent builds a memory of facts and preferences over time. By default, a summary of this memory may be synced from your server to the Atlas Ally platform to power the Memory view in your dashboard. You can opt out of this sync at any time in Settings.
3. Your Account
- You must be at least 16 years old (or the age of digital consent in your country) to use the Service.
- You are responsible for keeping your login credentials secure.
- You must not share your account or allow others to access it.
- You must not use the Service for unlawful purposes or to send spam.
4. Billing & Cancellation
Subscriptions are billed in advance, monthly or annually depending on the plan you choose. You can cancel at any time from Settings; your access continues until the end of the current billing period.
30-day money-back guarantee. If Atlas Ally is not for you, email support@atlasally.net within 30 days of your first paid subscription (monthly or annual) and we will refund the full amount of that first payment — no questions asked. The refund is issued to your original payment method, and your agent and its server are decommissioned once the refund is processed (you can export your data first, see our Privacy Policy). The guarantee applies once per customer and covers your first payment only.
Beyond the guarantee, refunds are not provided for renewals or partial billing periods except where required by law. Nothing in this section limits your statutory rights, including any withdrawal rights under EU consumer law.
5. Service Availability
We aim for high availability but do not guarantee any specific uptime. We may perform scheduled maintenance with advance notice. During maintenance, your agent may be temporarily unavailable.
6. Limitation of Liability
To the fullest extent permitted by law, Atlas Ally is not liable for indirect, incidental, or consequential damages arising from your use of the Service. Our total liability to you in any month shall not exceed the amount you paid us in that month.
7. Changes to These Terms
We may update these Terms. We will notify you by email or in-app at least 14 days before material changes take effect. Continued use after the effective date constitutes acceptance of the revised Terms.
8. Governing Law
These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer residing in the European Union, the mandatory consumer-protection provisions of the law of your country of residence remain unaffected, and any statutory jurisdiction rules in your favour continue to apply.
9. Consulting Services
This section governs the Starter Session, repeat sessions, and the Setup Sprint (together, “Consulting Services”). In this section, “you” means the client business and “we” means Atlas Ally.
9.1 What this section covers
The sections above continue to govern the hosted-agent subscription. The general provisions of these Terms, including Section 8 (Governing Law), apply to Consulting Services. Section 6 (Limitation of Liability) applies to Consulting Services only as modified by Section 9.13 below.
Booking or paying for a Consulting Service means you accept this section. These Terms are written in English. Any translation is provided for your convenience only, and the English version governs.
9.2 Business clients only
We sell Consulting Services only to businesses and self-employed professionals. The statutory withdrawal right for consumers under EU law does not apply to Consulting Services, because we sell only to businesses. If you turn out to be a consumer despite this, your mandatory statutory consumer rights remain unaffected.
9.3 The services
The Starter Session is a contract for services. The Setup Sprint is a contract for work, and a signed handover checklist confirming that both workflows run on your tools serves as your acceptance of the completed work.
The scope of a Setup Sprint is fixed in the written action plan we agree with you. Any change to that scope is agreed in writing and priced separately. We do not guarantee a delivery deadline for a Sprint; a target date may be agreed in the action plan.
The free check-in, thirty days after handover, is available to Setup Sprint clients only.
The 14 days of email questions after a Starter Session begin on the day of the session. We reply within 2 business days, and our replies cover the automation built during that session. Building a new automation is new, separately priced work.
We work in person only where you and we agree to it in advance. Where we do, travel costs are billed at cost and agreed with you in advance.
If a third-party tool or AI model that we set up for you changes, fails, or is withdrawn after handover, that is outside our responsibility. Fixing it is new, separately priced work, except during a Setup Sprint's 30-day check-in.
9.4 Booking, pricing, and cancellation
All prices are final prices. As a small business under § 19 of the German VAT Act (UStG), Atlas Ally does not charge VAT, and invoices show no VAT. Business clients in other EU countries may have to account for VAT themselves under their national reverse-charge rules.
A repeat session costs €190 for 60 minutes and is booked and paid the same way as a Starter Session. No refund guarantee applies to a repeat session.
The €290 Starter Session fee is not credited against the price of a Setup Sprint.
- You may reschedule or cancel a session free of charge up to 24 hours before it starts.
- A later cancellation or a no-show keeps the session fee, though we offer one free reschedule as a courtesy.
- If we need to cancel a session, you may choose a new slot or a full refund.
- If you arrive late, the session still ends at its originally scheduled time.
9.5 Starter Session refund
If nothing is running when your Starter Session ends, we refund the €290 fee. “Running” means an automation is live on your account and has completed at least one real run, or has produced a real draft awaiting your approval, before the session ends.
To claim the refund, email support@atlasally.net within 14 days of the session. We refund the original payment method within 14 days and issue a corrected invoice.
This refund does not apply:
- if you do not attend the session (a no-show);
- if you cannot provide the admin rights or logins the work needs;
- if personal data is involved and the AVV required under Section 9.9 has not been signed; or
- if we told you at the start of the session that the work needs more than 90 minutes and you chose to go ahead.
The 30-day money-back guarantee in Section 4 above applies only to the hosted-agent subscription. It does not apply to Consulting Services.
9.6 Setup Sprint payment
We invoice the first 50% of the Sprint fee at the start of the engagement. It is due within 14 days, and the build starts once we receive it.
We invoice the second 50% once both workflows run on your tools, confirmed by a signed handover checklist. It is due within 14 days. If only one of the two workflows can be made to run, half of the second 50% is due.
Either party may end a Setup Sprint for good cause. Once the build has started, the first 50% is not refundable, unless we end the Sprint through no fault of yours, in which case we refund it in full.
9.7 What you provide
For Consulting Services, you agree to:
- give us the admin rights the work needs;
- have a decision-maker available on calls;
- give your staff the time the engagement needs;
- give us feedback in good time;
- have a lawful basis for any data you share with us; and
- make sure your own tools' terms of service allow us to work in them as an invited member.
You are responsible for any content you approve and send. Every automated write waits for your approval, and you review AI-generated output before it goes out.
We never hold your account passwords. In a Starter Session, you type every login yourself. In a Setup Sprint, we work as an invited member of your accounts, using our own access, which we remove at handover.
9.8 Recordings and references
We record a session only if everyone taking part agrees at the start, and you tell your own staff the session is recorded. Anyone taking part may opt out, in which case we do not record the session. You receive a copy of any recording; consistent with our Privacy Policy, our copy is deleted 90 days after the session.
We use a recording, a recap, your company name, or a quote from you as a reference only with your written permission for that specific use.
9.9 Data processing agreement (AVV)
Before we touch any personal data, we sign our data processing agreement (AVV) with you. If the AVV is not signed by the time of your booked session, we either proceed without touching personal data or reschedule the session free of charge. On matters of data processing, the AVV takes precedence over these Terms.
9.10 Confidentiality
Each of us keeps confidential what we learn about the other during the engagement, including what we see on screen share and inside your accounts. This obligation lasts 3 years after the engagement ends.
9.11 Ownership of the work
Once you have paid in full, you own the deliverables we create for you: the workflows, company instructions, prompt library, handover pack, data map, recap, and your copy of the recording. We keep our general know-how, methods, templates, and reusable components, and grant you a permanent licence to use any reusable component embedded in your deliverables.
9.12 End of access and handover
At handover, we remove our access to your accounts. Within 30 days of handover, we delete our working notes and exports, except where the law requires us to keep them. After handover, we access your accounts again only at your invitation, for example for the check-in or paid follow-up work.
9.13 Relationship to the rest of these Terms
For merchants and legal entities, the venue for disputes about Consulting Services is Berlin. The governing-law provisions in Section 8 above apply unchanged.
For Consulting Services, this liability provision replaces the monthly-amount cap in Section 6 above:
- Our liability is unlimited for intent, gross negligence, injury to life, body, or health, and under applicable product liability law.
- For slight negligence, we are liable only for breach of an essential contractual obligation, limited to foreseeable damage typical for this kind of engagement, and capped at the fees you paid for the relevant engagement.
- We are not liable for third-party tools or AI models, except where our own breach of duty caused the damage.
A change to these Terms under Section 7 above does not affect a session you have already booked or a Setup Sprint already in progress.
If your engagement also includes the optional hosted agent, the hosted agent's operation, including operator access, is governed by Sections 1 and 2 above. Handover under Section 9.12 ends our access as consulting providers; it does not end the operation of a hosted agent you continue to run with us.
